3. No Warranties; As-Is Service
THE SERVICE IS PROVIDED STRICTLY "AS IS", "AS AVAILABLE", AND "WITH ALL FAULTS". TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, CUSTOMARY, OR OTHERWISE.
Without limiting the foregoing, we expressly disclaim any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, reliability, completeness, security, uninterrupted service, freedom from viruses or harmful code, performance, quiet enjoyment, or satisfaction of any particular business, technical, legal, regulatory, commercial, or operational requirement.
In particular, we do not warrant that:
• the Service will be uninterrupted, error-free, secure, or available at any time or from any location;
• any defect, bug, hallucination, error, omission, or malfunction will be identified, reported, or corrected;
• any AI-generated output, suggestion, answer, summary, classification, translation, recommendation, FAQ, or insight will be accurate, complete, current, or fit for any purpose;
• the Service will meet your specific business, commercial, technical, legal, regulatory, or operational requirements;
• crawled, indexed, or processed content will be complete, current, or free from errors;
• the Service will produce any specific business outcome, conversion result, SEO uplift, customer engagement improvement, legal compliance result, or operational benefit.
You expressly acknowledge that AI systems are inherently probabilistic, experimental, and may produce outputs that are incorrect, incomplete, offensive, or otherwise unsuitable, and you assume all risk arising from reliance on any such output.
4. AI-Specific Disclaimer
The Service relies on artificial intelligence, machine learning, natural language processing, automated retrieval and ranking, neural embeddings, statistical classification, and other algorithmic systems. These systems may produce outputs that are incomplete, inaccurate, misleading, offensive, out of date, improperly ranked, hallucinatory, or otherwise unsuitable.
You understand and irrevocably agree that: (a) all AI-generated outputs require independent human review and verification before being relied upon, displayed to end users, published, acted upon, or used in any commercial, customer-facing, legal, medical, financial, regulatory, or professional context; (b) the Company makes no representations regarding the reliability, accuracy, or fitness of any AI output; and (c) you are solely responsible for all decisions, actions, omissions, publications, and outcomes arising from or related to your use of AI features.
5. Beta and Experimental Features
The Service may include features designated or described as "beta", "preview", "experimental", "early access", or similar. Such features are provided without any warranty whatsoever, may be incomplete, unstable, or subject to significant changes or removal at any time without notice or liability, and must not be used in production or customer-facing environments unless you assume full and exclusive responsibility for all risks and consequences. The Company's general disclaimers and liability limitations apply with full force and to an even greater degree to such features.
6. Customer Responsibilities
You are solely and exclusively responsible for:
• all websites, pages, content, FAQs, prompts, data, scripts, settings, configurations, and any other materials you submit, connect, publish, configure, or make available through the Service ("Customer Content");
• ensuring that you hold all necessary rights, licenses, permissions, consents, and legal bases required to use, process, index, and store Customer Content through the Service;
• compliance with all laws, regulations, directives, standards, and industry requirements applicable to your business, your websites, and your use of the Service, including without limitation privacy and data protection law (including GDPR and Israeli Privacy Protection Law), consumer protection law, electronic commerce law, accessibility standards, anti-spam law, AI-related regulation, and advertising law;
• independently reviewing and approving any AI-generated content, output, suggestion, FAQ, answer, or recommendation prior to using it or exposing it to end users;
• maintaining the security, confidentiality, and integrity of your account credentials, App Keys, integration scripts, and administrative access;
• the conduct, content, and interactions of your end users via any site or platform on which the Service is installed;
• ensuring that any AI assistant persona, FAQ content, or suggestion you publish complies with all applicable laws and does not infringe any third-party right.
7. Accounts, Access, and Security
You are solely responsible for all activities occurring under your account, App Key, or credentials, whether or not authorized by you. You must use commercially reasonable measures to protect your credentials and must promptly notify us at legal@insitelabs.ai of any suspected or confirmed unauthorized access, security incident, or misuse. We may require identity or site ownership verification before acting on your request. We reserve the right to disable access, terminate accounts, or take other protective measures without liability if we suspect security risks or misuse.
8. Intellectual Property and Ownership
8.1 Company Property
As between you and the Company, the Company and its licensors exclusively own all right, title, and interest in and to the Service and all related technology, software (including source code, object code, and compiled forms), APIs, SDKs, models, system prompts, prompt engineering techniques, pipelines, architectures, methods, configurations, training approaches, retrieval methods, embeddings, vector structures, schemas, taxonomies, design systems, interfaces, UI/UX elements, analytics logic, scoring methods, ranking logic, clustering techniques, suggestion mechanisms, generated FAQs, generated answers, derived works, improvements, modifications, documentation, know-how, trade secrets, trademarks, branding elements, and all intellectual property rights therein, in all jurisdictions worldwide, whether registered or unregistered, and whether or not specifically listed in these Terms.
No right, title, or interest in any of the foregoing is transferred to you by virtue of these Terms or your use of the Service. All rights not expressly granted are reserved.
8.2 Customer Content
You retain your pre-existing rights, if any, in original Customer Content you submit. By submitting Customer Content to the Service, you grant the Company an irrevocable, perpetual, worldwide, royalty-free, fully paid-up, transferable, and sublicensable license to host, copy, store, process, analyze, index, transform, translate, crawl, display, reproduce, adapt, transmit, derive, aggregate, anonymize, de-identify, and otherwise use Customer Content for any purpose necessary or useful to provide, secure, maintain, improve, support, validate, test, troubleshoot, and develop the Service and related systems, including for training internal relevance and quality systems, subject to applicable law.
You represent and warrant that Customer Content does not and will not infringe, misappropriate, or violate any third-party right, applicable law, or these Terms, and that you have all rights required to grant the foregoing license.
8.3 Outputs and Derived Materials
All outputs, suggestions, generated FAQs, generated answers, recommendation structures, derived analytics, extracted content structures, system-generated content, aggregated data, derived metrics, and all other materials created, generated, assembled, or derived by the Service are and remain the exclusive property of the Company. To the extent any such materials cannot legally vest in the Company automatically, you hereby irrevocably assign to the Company, with full title guarantee, all right, title, and interest in and to such materials, including all intellectual property rights.
9. Restrictions and Prohibited Uses
You may not, and may not permit, authorize, or facilitate any third party to:
• reverse engineer, decompile, disassemble, decode, attempt to derive source code from, reconstruct, or otherwise discover any part of the Service, including its models, prompts, embeddings, architectures, or internal logic;
• copy, scrape, crawl, mirror, cache, republish, frame, benchmark against, or systematically extract data from the Service except as expressly authorized by the Company in writing;
• use the Service or any output, in whole or in part, to create, train, fine-tune, improve, validate, evaluate, or support a competing or substitute product or service, or any AI or machine learning model;
• resell, sublicense, white-label, distribute, rent, lease, lend, assign, broker, or commercially exploit the Service except under a separate, express written agreement with the Company;
• circumvent, defeat, disable, tamper with, or attempt to bypass any usage limit, technical protection, security control, domain restriction, rate limit, access control, or authentication mechanism;
• use the Service to process, transmit, or store unlawful, harmful, fraudulent, deceptive, infringing, defamatory, discriminatory, or abusive content;
• interfere with, overload, degrade, disrupt, impair, or gain unauthorized access to the Service or any related infrastructure, network, or system;
• use the Service in violation of any applicable law, regulation, or third-party right.
10. Fees, Billing, and Payments
Paid features are subject to fees, subscriptions, usage limits, and other charges as specified by the Company. You agree to pay all applicable fees and taxes. Payment processing may be performed by third-party merchants of record or payment processors, and their terms also apply.
All fees are non-cancelable and non-refundable except where expressly required by mandatory Israeli law or the Israeli Consumer Protection Law (where applicable to you as a consumer). The Company may change pricing, plans, packaging, features, usage caps, support tiers, or billing mechanics at any time. We may suspend or terminate access without liability for overdue payment, chargebacks, fraud risk, or payment disputes.
11. Suspension and Termination
We may suspend, restrict, disable, or terminate your access to all or any part of the Service at any time, with or without notice, and without liability, including if we determine in our sole discretion that:
• you have breached any provision of these Terms;
• your use creates risk, liability, abuse, regulatory exposure, reputational harm, or technical harm to us or others;
• payment is overdue, disputed, charged back, or reversed;
• continued provision is no longer commercially, legally, technically, or operationally feasible.
Upon any termination, your right to access and use the Service ceases immediately. We may delete, disable, or retain data, content, settings, logs, outputs, or your account at our discretion, subject to applicable law and our internal retention practices. We have no obligation to export, preserve, or return any Customer Content or data.
Provisions of these Terms that by their nature should survive termination shall survive, including without limitation Sections 3, 4, 7, 8, 13, 14, 15, 16, 17, and 19.
12. Third-Party Services and Dependencies
The Service integrates or interoperates with third-party platforms, AI providers, cloud infrastructure, CDN providers, payment processors, plugins, and other services ("Third-Party Services"). The Company does not control and is not responsible for Third-Party Services, their availability, security, accuracy, functionality, pricing, terms, or acts or omissions. Any third-party dependency may change, degrade, be discontinued, or otherwise affect the Service at any time without notice or liability to you. Your use of any Third-Party Service is subject to that service's own terms and conditions.
13. Confidentiality
You may not disclose non-public information about the Service, including technical architecture, product roadmap, pricing structures, security mechanisms, model configuration, or any other information the Company designates as confidential or that you reasonably understand to be confidential, to any third party, without the Company's prior written consent, except as required by applicable law (in which case you shall notify us promptly and cooperate to seek protective measures).
14. Indemnification
You agree to defend, indemnify, and hold harmless the Company and its affiliates, officers, directors, shareholders, employees, contractors, licensors, and partners (each an "Indemnitee") from and against any and all claims, demands, actions, liabilities, damages, losses, judgments, settlements, penalties, fines, costs, and expenses (including reasonable legal fees and litigation costs) arising out of or relating to:
• your access to or use of the Service;
• Customer Content or your websites, platforms, or products;
• your end users' interactions via the Service;
• your actual or alleged breach of these Terms or any applicable law;
• your actual or alleged infringement, misappropriation, or violation of any third-party intellectual property, privacy, or other right.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER THE COMPANY NOR ANY OF ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, OFFICERS, DIRECTORS, EMPLOYEES, OR PARTNERS SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING WITHOUT LIMITATION ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, USE, OPPORTUNITY, ANTICIPATED SAVINGS, OR REPUTATION, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF THE COMPANY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, REGARDLESS OF THE FORM OR THEORY OF ACTION, SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES ACTUALLY PAID BY YOU TO THE COMPANY IN THE THREE (3) CALENDAR MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD 100).
The existence of more than one claim will not expand or increase this limit. These limitations form an essential and material basis of the bargain between the parties, and the Company would not have entered into this agreement absent these limitations.
Note for Israeli consumers: Where mandatory provisions of Israeli consumer protection law apply and cannot be lawfully excluded, nothing in these Terms shall exclude or limit such rights.
16. Data Usage and Improvement Rights
We may collect, generate, process, aggregate, anonymize, de-identify, transform, and retain technical, operational, statistical, and usage data derived from the operation of the Service, including queries, interactions, performance metrics, diagnostics, logs, relevance signals, and system behavior. We may use such data for any legitimate business purpose, including improving, securing, training, validating, developing, and operating the Service and related systems. Such use is subject to our Privacy Policy and applicable law. We will not identify you individually in any externally published aggregated data.
17. Force Majeure
The Company is not liable for any failure or delay in performing its obligations under these Terms to the extent caused by events outside our reasonable control, including without limitation acts of God, war, terrorism, pandemic, government action or regulation, changes in law, labor disputes, civil unrest, fire, flood, earthquake, infrastructure failure, power or internet outage, failure of third-party service providers, cyberattacks, or any other cause beyond our reasonable control ("Force Majeure Event"). During a Force Majeure Event, our obligations are suspended for the duration of the event.
18. Dispute Resolution
Before initiating any formal legal proceeding, the party asserting a dispute shall first provide written notice to the other party describing the dispute in reasonable detail. The parties shall engage in good-faith negotiations for a period of thirty (30) days following receipt of such notice to resolve the dispute informally. This informal resolution process is a condition precedent to any formal legal action, except where seeking emergency injunctive or equitable relief.
You agree not to bring or participate in any class action, collective action, or representative proceeding against the Company. All disputes shall be resolved individually.
19. Governing Law and Jurisdiction
These Terms and all disputes, claims, or controversies arising out of or relating to these Terms, the Service, or the relationship between you and the Company, including their formation, validity, interpretation, performance, breach, or termination, are governed exclusively by the laws of the State of Israel, without regard to any conflict of laws principles or choice of law rules that would require application of the laws of any other jurisdiction.
The competent courts of the Sharon District, Israel, shall have exclusive jurisdiction over all such disputes, claims, and controversies, and you irrevocably and unconditionally submit to the personal jurisdiction and venue of those courts and waive any objection to such jurisdiction or venue on any ground, including inconvenience of forum.
20. Changes to Terms
We reserve the right to amend, update, or replace these Terms at any time in our sole discretion. Updated Terms are effective upon posting to our website or delivery of notice to you by email or within the Service. Your continued access to or use of the Service after the effective date of any update constitutes your binding acceptance of the updated Terms. If you do not accept the updated Terms, you must cease using the Service. We encourage you to review these Terms periodically.
21. General Provisions
Entire Agreement. These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and the Company regarding the Service and supersede all prior and contemporaneous representations, understandings, and agreements on the same subject, whether oral or written.
Severability. If any provision of these Terms is held by a competent court to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed, and the remaining provisions shall continue in full force and effect.
No Waiver. Any failure or delay by the Company to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
No Assignment. You may not assign, transfer, delegate, or sublicense your rights or obligations under these Terms without the Company's prior written consent. The Company may freely assign these Terms in connection with a merger, acquisition, or sale of assets.
Language. These Terms are written in English. In the event of any conflict between an English version and a translated version, the English version shall prevail.
